Incorporating creates a company. It does not decide what happens when the owners stop agreeing. That is what a shareholder agreement is for.
Setting up a corporation says nothing about what happens when two owners fall out, one wants to leave, someone dies, or new money comes in. Without an agreement, the default statutory rules apply, and they rarely match what the founders actually intended.
A strong shareholder agreement addresses decision-making and deadlock, restrictions on transferring shares, what happens on a departure, death or dispute (buy-sell and shotgun clauses), how the company is valued, and the duties and compensation of those who run it. A unanimous shareholder agreement can even shift the directors' powers to the shareholders.
Share structures, family dynamics and investor terms vary enormously. A generic template often leaves the exact gap that becomes the fight. This is work that repays being done properly.

Book a Consultation
