Many corporations are run as if incorporation was the end of the paperwork. It was the beginning, and the gaps surface at the worst time.
Every corporation must keep proper records, its articles and by-laws, registers of directors and shareholders, and minutes or resolutions of decisions, together known as the minute book. It is not a formality. A buyer, lender or investor will ask to see it, and an incomplete one can stall or sink a deal.
Corporations must file annual returns to stay in good standing, and must now maintain a register of individuals with significant control, the people who ultimately own or control the company. Federal corporations file this information, and some of it is public, while Ontario corporations must keep it on file. Falling behind on filings can lead to a corporation being dissolved.
A simple annual routine keeps a corporation clean and deal-ready. Letting it lapse creates a problem that compounds quietly for years.

Book a Consultation
